Terms of Service

1. Agreement to Terms

By accessing or using YayPlans ("the Service"), operated by Unique Prime GmbH, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

YayPlans is an event coordination platform that allows users to:

  • Create events with limited spots (first-come, first-served)
  • Share invite links and collect RSVPs from friends
  • Offer multiple date options and collect votes
  • Manage waitlists when events reach capacity
  • Organize contacts into Bunches (private groups) and Circles (shared groups)

The Service enables organizers to manage event attendance and communicate with participants via email notifications.

3. User Accounts

To create events on YayPlans, you must:

  • Sign in using a valid Google account
  • Provide accurate account information
  • Be at least 16 years of age
  • Keep your account credentials secure

Guests may respond to events without an account by providing their name and email address. By submitting this information, guests agree to receive event-related communications. You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Create events for illegal activities
  • Harass, abuse, or harm other users
  • Send spam or unsolicited messages
  • Impersonate others or misrepresent your identity
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Use automated means to access the Service without permission
  • Collect personal information of other users without consent

5. User Content

You retain ownership of content you create on YayPlans (event details, descriptions, etc.). By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that content solely as necessary to provide and promote the Service. This license terminates when you delete the content or your account.

You are solely responsible for the content you post and must ensure you have the right to share it. We may remove content that violates these terms.

6. Event Responsibility

YayPlans is a coordination tool only. Event organizers are solely responsible for their events, including safety, legality, venue arrangements, and any issues that may arise. YayPlans does not verify events, venues, or participants and is not liable for any incidents, injuries, damages, or disputes related to events organized through the Service.

7. Communications

By using the Service, you consent to receive transactional emails related to your use of the Service, including:

  • Event invitations and confirmations
  • RSVP notifications and reminders
  • Waitlist updates
  • Circle invitations
  • Service announcements and updates

These communications are necessary for the Service to function and cannot be opted out of while using the Service.

8. Intellectual Property

The Service, including its design, features, and content (excluding user content), is owned by Unique Prime GmbH and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service without our written permission.

9. Third-Party Services

The Service integrates with third-party services including Google (authentication), Hetzner (hosting), Bunny.net (CDN), and Scaleway (email). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Termination

We may suspend or terminate your access to the Service at any time for violations of these terms or for any other reason at our discretion. You may request deletion of your account and associated data by contacting us at privacy@yayplans.com.

Upon termination or account deletion:

  • Your right to use the Service immediately ceases
  • Events you created will be deleted or transferred to another organizer at our discretion
  • Your RSVPs to other events may be removed
  • Your personal data will be deleted in accordance with our Privacy Policy

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNIQUE PRIME GMBH AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

  • Your use or inability to use the Service
  • Any events organized or attended through the Service
  • Unauthorized access to or alteration of your data
  • Actions or content of third parties on the Service
  • Any third-party services integrated with the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Unique Prime GmbH and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service
  • Your violation of these Terms
  • Events you organize through the Service
  • Your content or any content you submit
  • Your violation of any rights of another person or entity

14. Changes to Terms

We reserve the right to modify these terms at any time. If we make material changes, we will notify you by email or through the Service, in addition to updating the "Last updated" date at the top of this page. Your continued use of the Service after such changes constitutes acceptance of the modified terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Austria, without regard to conflict of law principles. The courts of Vienna, Austria shall have exclusive jurisdiction over any disputes arising from these Terms or your use of the Service.

If you are a consumer residing in the European Union, you may also be entitled to invoke the mandatory consumer protection laws of your country of residence and/or bring proceedings in the courts of that country.

For EU consumers: You may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
